Ontario Extra-Provincial Corporation (EPC)

 
If a non-Canadian corporation or LLC, including offshore companies, needs to open branch and/or corporate bank account in Canada, we offer such service in the Province of Ontario, which is the most populous and developed province, as well as well known business and financial center of Canada. Entity from any country can get status of Ontario Extra-Provincial Corporation (EPC) and there are no restrictions on the residency of directors, officers and shareholders of Ontario EPC. After registration a non-Canadian company will receive Ontario Extra-Provincial License with Ontario Corporation Number and a status of Ontario Extra-Provincial Corporation. The license allows EPC to open a bank account, office and conduct its business in Ontario, if necessary, or from Ontario with all other provinces of Canada and other countries. Please note that Canadian extra-provincial registration does not create a separate legal entity in Canada.
 
CORPORATE TAX
Ontario EPC is required to pay Canadian 26.7% income tax, including federal and provincial parts, on all income received in Canada. If company doing its business outside of Canada, it has no Canadian tax obligations as a non-Canadian legal entity. All business expenses including salaries, directors fees, contract payments to third parties, advertisement expenses, etc. are deductible from corporate taxable income.
 
TAX  RETURN
Ontario EPC is required to file a corporate tax return in Canada every year, if it has business in Canada. The return has to be filed during 6 months after the corporate fiscal year end. Income tax is payable in 2 months from the corporate fiscal year end.
If Ontario EPC does not conduct business in Canada, filing of tax return is not required. We will provide all necessary services to keep our clients in compliance with Ontario requirements, file their corporate income tax in time and keep their companies in good standing.
 
NAME of Ontario Extra-Provincial Corporation
To be registered in Ontario name of non-Canadian company shall not be the same as or similar to the name of existing entity in Ontario. Otherwise, it will not be possible to register company as Ontario EPC.  Ontario also has restrictions on use words such as  "bank", "trust", "insurance", "trust", "stock exchange", etc. in the name of Ontario EPC.
 
TIME REQUIRED FOR REGISTRATION
Ontario Extra-Provincial registration usually takes 2 to 3 weeks for corporations and 1 to 3 days for limited liability companies.
 
ANNUAL RENEWAL FEE
Each Ontario EPC must have Registered Agent and registered address in Ontario. Our company will provide such service for US$990 annually. This fee is payable from the second year.

Corporate Income Tax Return
Each Canadian corporation is required to file its corporate income tax return annually. The return must be filed in 6 months from the corporate fiscal year end. Income tax is payable in 2 months from the corporate fiscal year end. Corporations with zero taxable income or losses are not required to pay income tax, but they must file the corporate income tax return in time. Combined corporate income tax rate including federal and provincial components is 25% in both provinces. All business expenses including salaries paid to employees, directors fees paid to directors, payments to suppliers, advertisement expenses, office expenses etc. are deductible from corporate income before taxes.

Company Name
Each corporation must have a distinctive legal corporate name, which may be in English, French or both. Corporate name should include distinctive and descriptive parts. It must also include a legal element, such as "Limited", "Limitée", "Incorporated", "Incorporée" or "Corporation" or the abbreviation "Ltd.", "Ltée", "Inc." or "Corp.". For example:  Johnson Construction Limited.
Use words which may be considered to be misleading is restricted and include, for example, "bank", "trust", "insurance", "stock exchange", "university", "academy", etc.
BC it is possible to register numbered corporation. In this case name is created by adding "B.C. Ltd." after the incorporation number of the company generated by the BC Registry Services.
Time Required for Incorporation
We incorporate New Brunswick corporations in 3 to 4 business days. Certification of corporate documents by the New Brunswick government takes 4 to 7 business days. It usually takes 3 to 5 business days to incorporate a British Columbia company and 7 to 9 business days to prepare and certify corporate documents.
Shareholders
A minimum of one shareholder is required. Residents of any country, individuals and legal entities may be shareholders of New Brunswick or British Columbia corporations.
Authorized And Issued Share Capital

Directors and Officers
New Brunswick British Columbia
Director must be an individual at least 19 years old, mentally competent, not in bankruptcy and not convicted of a crime in any jurisdiction. A resident of any country may be appointed as Director.  Minimum of one director is required.
Officers must be individuals, who are residents of any country. Positions of president, secretary and treasure are mandatory for each corporation, but one person may be appointed as director, president, secretary and treasure.
 
Director must be an individual at least 18 years old, not found by a court to be incapable of managing the individual's own affairs, not in a status of an undercharged bankrupt and not convicted of an offence in connection with the promotion, formation or management of a corporation or unincorporated business, or of an offence involving fraud. A resident of any country may be appointed as a director. Minimum one director is required and it can be resident of any country.
Any individual may be appointed by Director to any office position(s), including president, secretary and treasure. Requirements to individuals appointed as officers are the same as to directors. One individual may Director and hold any position(s) as officer.
 
Annual General Meeting
New Brunswick British Columbia
Annual general meeting is required and may be held in any place inside or outside of Canada.
A shareholder or any other person entitled to attend a meeting of shareholders may participate in the meeting by means of telephone or other communication facilities that permit all persons participating in the meeting to hear each other.
 
A general meeting of a company may be held outside of British Columbia, if the location is approved by a resolution of the shareholders.
If all of the shareholders, who are entitled to vote at an annual general meeting consent by a unanimous resolution to all of the business that is required to be transacted at that annual general meeting, the annual general meeting is deemed to have been held on the date selected in the unanimous resolution.
 
Registered Office Address
New Brunswick British Columbia
Each New Brunswick corporation must have a registered office address in New Brunswick. Our incorporation fee includes it for the first year. BC corporation must have a registered office and a records office in British Columbia and may be at the same place. Our incorporation fee includes registered office and a records office for the first year.
 
The registered address accepts only official mail from the government and we will forward them to client, but it does not accept regular business correspondence unless you order our mail forwarding services.
Annual Renewal Fee
The annual fee is US$990 and payable from the second year. It includes registered office address, government fee and filing of the information return with the government. Preparation of tax returns will be billed separately depending on amount of work, if this service will be required.
