Incorporating a Corporation in Missouri

Corporate Name Requirements

Missouri requires corporations to have names that can't be confused with any existing entity or reserved names. Company Express will research your company name to make sure it meets Missouri's standards.

Permitted designations: corporate names must contain one of the following words at the end of the name:
  • Co.
  • Company
  • Corp.
  • Corporation
  • Inc.
  • Incorporated
  • Limited
  • Ltd.
Restricted designations: The use of the following words in corporation's name will require approval by the state:
  • Bank
  • Coop
  • Cooperative
  • Insurance Company
  • Redevelopment Corporation
  • Trust Company
  • Underwriter

Filing Requirements

Required documents: Articles of Incorporation filed with the Secretary of State.

Turnaround time: About 5-7 business days.

Follow-up filings: Required. Newly formed corporations must file an initial annual report within four months of incorporation.

Officers/Directors Information

Minimum number: Minimum one director is required, as well as a president and secretary, who may be the same person.

Director qualifications: Directors must be at least 18 years old.

Appearance in articles: Director names and addresses are required to be listed in the Articles of Incorporation.

Registered Agent:

Local registered agent is required.

 

Annual Reports

Time to file: Annual registration report has to be filed by the end of the month that marks the anniversary of incorporation.

Signatures: Corporations may authorize signatories for annual reports. Emailed or faxed signatures are accepted.

Filing extensions: Not permitted.
