Incorporating a Corporation in Illinois

Corporate Name Requirements

Name of Illinois corporation must be distinguishable from the name of any existing entity or reserved or registered names.

Permitted designations: Illinois corporate names must contain one of the following words at the end of the name:
  • Co.
  • Company
  • Corp.
  • Corporation
  • Inc.
  • Incorporated
  • Limited
  • Ltd.
Restricted designations: The use of the following words in corporation's name will require approval by the state:
  • Engineer
  • Engineering
  • Insurance
  • Union
  • Bank
  • Banker
  • Banking

Filing Requirements

Required documents: Articles of Incorporation.

Turnaround time:  About 9-12 business days. Expedited 24 hours filings is available for a fee.

Follow-up filings: Not required.

Officers/Directors Information

Minimum number: At least one director is required.

Director qualifications: No special provisions.

Appearance in articles: Not required. 

Principal office location / Registered Agent

Corporation's principal office may be located outside of the state. Local registered agent is required.

Annual Reports

Time to file: Annual Reports must be filed by the first day of the month that marks the anniversary of incorporation. The the fee is $75 plus an amount that is calculated based on paid-in capital. Corporations may also be required to file a Cumulative Report.

Signatures: Only company officers are authorized to sign annual reports. Emailed or faxed signatures are accepted.

Filing extensions: Permitted.
